Illinois Tool Works Inc. ("ITW") makes certain human resource ("HR") related information (such as health and benefits information, and links to third party websites) on this site ("ITWemployee" or "Site") for your benefit and for the benefit or your dependents and other approved beneficiaries.

In order to access ITWemployee, you will be provided with a logon ID and password. It is your responsibility to protect your password. You must notify ITW of any known or suspected unauthorized use of your logon ID or password, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password information. You agree that you are fully responsible for the use and disclosure of your logon ID or password.

You agree that all ITW policies, procedures and other ITW information posted on ITWemployee are "Confidential Information." Confidential Information excludes information in the public domain, generally known in either party's industry, or independently developed or lawfully acquired without breach of any legal or contractual obligation. You agree to take reasonable measures to keep Confidential Information in confidence. Except as authorized by ITW or as required by law, you agree that you will not disclose any Confidential Information to any person other than authorized users of the Site or your dependents or approved beneficiaries. You agree that you will ensure that dependents or beneficiaries of the benefits discussed on the Site will refrain from disclosing Confidential Information to unauthorized persons or entities. Upon expiration or termination of employment, you agree to return all such Confidential Information, retain no copies, and erase all magnetic media containing such information (other than reasonable archival data). Your obligations to protect Confidential Information shall survive expiration or termination of this Agreement. You may otherwise disclose Confidential Information only if compelled by subpoena or other legal process, provided that, immediately after receiving any such subpoena, order or similar request for disclosure, you agree to advise ITW, and cooperate with ITW's efforts to obtain a protective order (at ITW's expense), or other reasonable and lawful measures to protect ITW’s Confidential Information.

You agree that any feedback or submissions you make to ITW in connection with, or relating to, ITWemployee, including but not limited to questions, comments, suggestions, ideas, discoveries, plans, notes, drawings, original or creative materials, or any other information or intellectual property ("Submissions") provided by you shall become the sole property of ITW to the fullest extent permitted by applicable law. You hereby assign and agree to assign to ITW all right, title and interest in any and all such Submissions. ITW shall own exclusive rights, including any and all intellectual property rights, and shall be entitled to the unrestricted use of Submissions for any purpose, commercial or otherwise, without acknowledgment or additional compensation to you. In the event applicable law operates to prevents such assignment, or otherwise prevents ITW from becoming the sole owner of any such Submissions, you agree to grant to ITW, and this provision shall be effective as granting to ITW, (with unfettered rights of assignment) a perpetual, worldwide, paid-in-full, nonexclusive right (including any moral rights) and license to make, use, sell, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Submissions (in whole or in part) worldwide and or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in any such Submissions. By making Submissions, you represent that (i) you have full power and authority to make the assignment and license set forth above, (ii) the Submissions do not infringe the intellectual property rights of any third party, and (iii) ITW shall be free and have the right to use, assign, modify, edit, alter, adapt, distribute, dispose, promote, display, and transmit the Submissions, or reproduce them, in whole or in part, without compensation, notification, or additional consent from you or from any third party.

You understand and agree that ITW may, in its sole discretion and at any time, restrict, suspend, or terminate your access to ITWemployee, and discard and remove any and all submissions posted by you for any reason in its sole discretion. You understand and agree that ITW may take any one or more of these actions without any notice to you, prior or otherwise. You understand and agree that ITW shall not have any liability to you or any other person for any restriction, suspension, or termination of your access to ITWemployee.

ITWemployee is operated by ITW from its offices in the State of Illinois in the United States of America. Use of ITWemployee constitutes your consent and submission to service of process under applicable Illinois laws and to personal jurisdiction in a court of competent jurisdiction in Illinois for the purposes of any legal action or claim pertaining to these Terms of Use, or arising from the use of ITWemployee. These Terms of Use shall be construed and enforced in accordance with the laws of the State of Illinois without regard to its choice of law principles.

ITW reserves the right to update or modify the ITWemployee Terms of Use at any time and without prior notice by posting the revised version of the Terms of Use on ITWemployee. If we make material modifications to the Terms of Use, we will post the revised Terms of Use on this site with a link on the home page for 30 days prior to the implementation of the changes in the revised Terms and Conditions.
